General Terms and Conditions

for the use of the Neos7.io platform

Definitions

For improved readability and uniform interpretation of these General Terms and Conditions, the following definitions apply:

Administrator

A person authorised by the account holder or an organisation who may manage user accounts, roles, permissions or organisational structures within Neos7.io.

API (Application Programming Interface)

A technical interface through which Neos7.io communicates with external platforms or services.

User account

The personal or organisation-related user account that enables access to the functions of Neos7.io.

Blockchain wallet (Wallet)

A compatible digital wallet that the user can connect to Neos7.io in order to use blockchain-based functions or the NB7 Utility Token.

Third-party provider

Companies or organisations whose services, platforms or technologies are used or connected in connection with Neos7.io, in particular cloud, hosting, AI or social media providers.

Genie

Genie is the AI platform developed by Drion AI AG and comprises all present and future AI-supported technologies, language models, image generators, AI agents, automations, assistance functions and other intelligent applications that are provided within Neos7.io or other platforms and services of Drion AI AG.

AI (Artificial Intelligence)

All AI-supported functions, models or services provided by Drion AI AG or by third-party providers that are used within Neos7.io.

Service package

The functional scope of Neos7.io booked or provided to the user in each case, including free and paid offerings.

NB7 Utility Token

The utility token provided by Drion AI AG for use within the respective digital ecosystem in accordance with the applicable terms of participation.

Neos7 Points

The bonus programme of Drion AI AG through which users can collect points by means of certain activities and use them in accordance with the applicable terms of participation.

Organisation

Companies, associations, public authorities, institutions or other legal entities that use Neos7.io with multiple users.

Platform

The cloud-based software solution provided under the name Neos7.io by Drion AI AG, including all applications, services, interfaces and all present and future functions.

Social media platforms

External social networks and communications platforms that can be connected to Neos7.io via official application programming interfaces (APIs).

User

Any natural or legal person as well as any partnership that uses Neos7.io or registers a user account.

1. Scope of application

1.1 Area of application

These General Terms and Conditions (hereinafter “GTC”) govern the legal relationships between Drion AI AG, Kantonstrasse 32, 6207 Nottwil, Switzerland (hereinafter “Drion AI AG”), and the users of the cloud-based platform Neos7.io as well as the applications, services, functions and digital offerings provided therethrough. They apply to all present and future services provided by Drion AI AG in connection with Neos7.io, unless supplementary or differing agreements have been made for individual products or services.

1.2 Personal scope of application

These GTC apply to all natural persons, legal entities and partnerships that use Neos7.io, register a user account or make use of the platform’s services (hereinafter jointly “users”). For company, organisation or team accounts, these GTC apply accordingly to all authorised users, administrators and other authorised persons.

1.3 Scope of services

Neos7.io is a cloud-based software platform (Software as a Service – SaaS) that

may in particular provide functions in the areas of:

• social media management,
• artificial intelligence (AI),
• content creation and optimisation,
• digital automation,
• team and organisation management,
• data analytics,
• blockchain technologies,
• wallet integration,
• Neos7 Points,
• NB7 Utility Token
• as well as other digital services

The specific scope of services is determined by the service package booked in each case, the current state of development of the platform and the functions available at the time.

1.4 Supplementary contractual components

In addition to these GTC, the following apply – to the extent provided for individual functions or services –

in particular:

• the Privacy Policy DLA-DP-001
• the Terms of Participation for Neos7 Points DLA-Points-001
• the Terms of Participation for the NB7 Utility Token DLA-Token-001
• Use of AI DLA-AI-002
• Price and package overviews DLA-SUB-001
• the Cookie Policy
• service descriptions and service overview
• as well as other policies or terms of use of Drion AI AG.

To the extent that special terms apply to individual services, those terms take precedence over the provisions of these GTC for the respective area of application.

1.5 Application vis-à-vis conflicting terms

Deviating, conflicting or supplementary general terms and conditions of the user shall not apply unless Drion AI AG has expressly consented to their application in writing. Silence on the part of Drion AI AG in respect of conflicting terms shall not constitute consent.

1.6 Acknowledgement of the GTC

By registering a user account, concluding a contract or using Neos7.io, the user acknowledges these GTC in their respective valid version as binding. If individual functions, products or services require additional terms, these will be made available to the user in an appropriate manner prior to their use.

1.7 Forward-looking further development

Drion AI AG continuously further develops Neos7.io and the associated digital ecosystem. These GTC therefore also apply to functions, applications, platforms or technologies of Drion AI AG provided in the future, to the extent that their inclusion is reasonable for the user and no separate contractual provisions are made.

2. Subject matter of the contract

2.1 Subject matter of the contract

Drion AI AG operates Neos7.io as a cloud-based software platform (Software as a Service – SaaS) that provides users with digital tools for social media management, artificial intelligence (AI), digital automation and other cloud-based applications. The specific scope of services is determined by the service package booked in each case, the platform functions available at the time of use, and the supplementary service descriptions of Drion AI AG.

2.2 Scope of services

Depending on the respective service package, Neos7.io may in particular

provide the following functions:

• creation, editing and optimisation of digital content,
• AI-supported creation, analysis and optimisation of texts, images and other

content,

• planning, automation and publication of posts on supported

social media platforms,

• management of multiple social media accounts,
• team and organisation management,
• evaluation and analysis of available platform and post data,
• use of Neos7 Points,
• use of blockchain-based functions,
• connection of compatible blockchain wallets,
• use of the NB7 Utility Token,
• integration of external services and application programming interfaces (APIs),
• provision of other digital applications and services.

The list is not exhaustive.

2.3 Service packages

Drion AI AG offers Neos7.io in different service packages. The respective functional scope is determined by the service package chosen by the user and the service descriptions published in this regard. Depending on the service package, in particular the scope, number and availability of individual functions, user accounts, AI services, social media connections, storage capacities, organisational functions and other platform services may be configured differently.

2.4 Further development of the platform

Drion AI AG continuously further develops Neos7.io. In this context, in particular new platform functions, AI applications, automations, analysis tools, social media integrations, blockchain applications, organisational functions or other digital services may be added, expanded, modified or discontinued. To the extent that changes have a material impact on existing contractual relationships or information is required by law, the affected users will be informed in an appropriate manner.

2.5

Use of external services Neos7.io may integrate functions of external providers or collaborate with them. These include in particular providers of cloud services, artificial intelligence, social media platforms, blockchain networks, authentication services and other technical platforms. The use of such services may depend on the technical requirements as well as the terms of use of the respective third-party providers.

2.6 Availability of individual functions

Not all functions are available at all times or in every service package. The provision of individual functions may in particular depend on technical requirements, statutory requirements, regional restrictions, the availability of external services or the service package booked in each case.

2.7 No entitlement to specific functions

The user has no entitlement to the permanent provision of individual functions, integrations, AI models, APIs or technical services. Drion AI AG is entitled to further develop, adapt or discontinue platform functions, taking into account the legitimate interests of users, provided that the essential purpose of the contract is not impaired thereby.

2.8 Supplementary service descriptions

To the extent that supplementary service descriptions, product information or special contractual terms are published for individual functions, products or service packages, these supplement the subject matter of the contract and apply in the respective area of application in addition to these General Terms and Conditions.

3. Registration and user account

3.1 Registration

Use of the essential functions of Neos7.io requires registration of a user account. By registering, the user submits an offer to conclude a usage contract with Drion AI AG. The contract is concluded upon activation of the user account or provision of the platform for use. Drion AI AG reserves the right to refuse registrations in individual cases without stating reasons, unless statutory obligations prevent this.

3.2 Registration requirements

Natural and legal persons as well as partnerships may in principle register. Natural persons must have legal capacity under the law applicable to them. To the extent that a certain minimum age or further usage requirements are prescribed for the use of individual functions or for connecting external social media platforms, the user undertakes to comply with these requirements. The user is responsible for ensuring that the use of Neos7.io and connected third-party platforms is in accordance with the applicable statutory provisions and the terms of use of the respective providers.

3.3 User account

In the course of registration, the following data in particular may be processed:

• first and last name (if provided),
• username,
• email address,
• encrypted password,
• language settings,
• account settings,
• date of registration,
• other information required for setting up or administering the user account

The processing of personal data is governed by the Privacy Policy of Drion AI AG.

3.4 Access credentials

The user is obliged to keep their access credentials carefully and to protect them against access by unauthorised third parties. If access credentials are misused or there is a suspicion of unauthorised access, the user must inform Drion AI AG without delay and change their password immediately, to the extent this is possible for the user.

3.5 Organisation and team accounts

To the extent that Neos7.io supports organisation, company or team accounts, the respective account holder or administrator is responsible for ensuring that all authorised users comply with these GTC and any supplementary policies. Actions of authorised users within an organisation or team account are in principle deemed to be actions of the respective organisation, unless otherwise provided by law.

3.6 Blocking and deletion of user accounts

Drion AI AG is entitled to temporarily block user accounts or permanently close them if:

• these GTC or applicable law are violated,
• incorrect or misleading registration data have been used,
• there is misuse of the platform,
• security interests of the platform make blocking necessary,
• there is a statutory obligation to block.

To the extent legally permissible and reasonable, the user will be informed prior to a permanent account closure. The parties’ rights of ordinary or extraordinary termination under Chapter 15 remain unaffected.

4. Right of use and

organisation accounts

4.1 Right of use

Use of Neos7.io is permitted exclusively to registered users within the framework of these General Terms and Conditions and the applicable statutory provisions. The scope of usable functions is determined by the service package booked in each case and the requirements applicable to the respective platform function. There is no entitlement to registration or to the permanent provision of individual platform functions, unless otherwise prescribed by law.

4.2 Personal use of the user account

User accounts are in principle personal. The user is obliged to use their user account exclusively themselves and to treat the access credentials as confidential. Transfer, rental or other provision of the user account to third parties is not permitted, unless this is expressly provided for by Drion AI AG or has been approved in writing.

4.3 Organisation and team accounts

To the extent provided in the respective service package, companies, associations, public authorities or other organisations may set up organisation or team accounts. Organisation accounts enable the management of multiple user accounts within a shared organisational structure.

4.4 Administrators

One or more administrators may be designated for organisation accounts. Depending on the respective service package, administrators may in particular be authorised

• to create, manage or remove user accounts,
• to assign roles and permissions,
• to manage organisation and account settings,
• to invite or exclude team members,
• to perform other administrative functions provided by the platform.

The organisation is responsible for assigning administrator rights exclusively to persons authorised for this purpose.

4.5 Responsibility of the organisation

The organisation is responsible for the administration of its organisation account and for all actions of its authorised users. It must ensure that all authorised users comply with these General Terms and Conditions as well as supplementary policies of Drion AI AG.

4.6 Misuse and security measures

The user and the organisation are obliged to refrain from any misuse of the platform and to take appropriate measures to protect the user accounts. If there is a suspicion of unauthorised access or misuse, Drion AI AG must be informed without delay. Drion AI AG is entitled to take appropriate security measures to protect the platform, in particular to temporarily restrict or block user accounts or organisation accounts, to the extent there is an objective reason for doing so.

4.7 Service packages and permissions

The scope of available functions, user accounts, organisational structures, administrator rights and other platform functions is determined by the service package booked in each case. An entitlement to specific functions or permissions exists only to the extent that these form part of the respective service package.

4.8 Further development

Drion AI AG continuously further develops Neos7.io and is entitled to further develop, adapt or expand organisation and administration functions technically. To the extent that changes have a material impact on existing usage relationships or information is required by law, the affected users will be informed in an appropriate manner.

5. Social media connections

5.1 General

Depending on the service package booked in each case, Neos7.io enables the connection of supported social media platforms in order to create, plan, manage and publish content. The scope of available platforms and functions is determined by the respective service package and the technical capabilities of the supported third-party providers.

5.2 Connecting external accounts

To use the social media functions, the user may connect their accounts on supported social media platforms with their user account. The connection is made exclusively at the user’s instigation and using the authentication procedures provided by the respective platform operators. The user warrants that they are authorised to use the connected accounts and that they have the necessary rights and powers.

5.3 Publication of content

Depending on the service package booked in each case, Neos7.io in particular enables:

• the creation of posts,
• the AI-supported creation and optimisation of content,
• the scheduling of time-controlled publications,
• the intelligent planning and optimisation of publication times,
• simultaneous publication on multiple supported social media

platforms,

• the management of published content,
• the evaluation of available post statistics,
• other social media and automation functions.

Depending on the service package booked, Neos7.io may provide AI-supported functions for planning, optimising and automating publications. These may in particular include suggestions for publication times, publication strategies, content recommendations or other automated processes. Unless the user has expressly activated or configured automated publication, the decision on the final publication of content remains exclusively with the user. Only content selected or approved by the user is used for publication.

5.4 Responsibility for content

The user is solely responsible for ensuring that all content published or scheduled via Neos7.io complies with the applicable statutory provisions and the terms of use of the respective social media platform. Drion AI AG does not undertake any substantive review of the content created or published by the user.

5.5 Third-party providers and platform changes

The social media functions of Neos7.io presuppose the availability of the respective platforms and their application programming interfaces (APIs). Drion AI AG has no influence over changes to the terms of use, technical interfaces, functions or availability of the respective platform operators. If functions are restricted, changed or discontinued, this may affect the use of corresponding functions within Neos7.io.

5.6 Data protection and data transmission

To the extent that the user connects social media accounts with Neos7.io, the processing of personal data takes place exclusively in accordance with the applicable data protection provisions. The processing of personal data in connection with the use of Neos7.io is governed by the Privacy Policy of Drion AI AG. The respective platform operators are solely responsible for the processing of personal data by the connected social media platforms. In this respect, the data protection provisions and terms of use of the respective third-party providers apply. Details of the processing of personal data, of the third-party providers used and further information on the data protection provisions of the supported social media platforms are set out in the current Privacy Policy of Drion AI AG.

5.7 Supported platforms

At the time of use, the following social media platforms in particular may be supported:

• Facebook
• Instagram
• LinkedIn
• X
• TikTok
• YouTube
• Pinterest
• Threads
• other platforms supported in the future.

Drion AI AG is entitled to expand, restrict or adapt the range of supported platforms, taking into account technical, economic or legal requirements.

5.8 Compliance with third-party terms of use

The user undertakes, when using connected social media platforms, to comply with the applicable terms of use, community guidelines and other requirements of the respective platform operators. Violations of these requirements are the sole responsibility of the user.

6. Use of artificial intelligence (AI)

6.1 General

Depending on the service package booked in each case, Neos7.io provides AI-supported functions that assist users in the creation, optimisation, analysis, planning and automation of digital content and workflows. The specific functional scope is determined by the service package booked in each case and the platform functions available at the time of use.

6.2 AI technologies used

To provide the AI-supported functions, Drion AI AG uses its own AI platform Genie. Depending on the respective use case, Genie may use both its own AI technologies and technologies of external providers or collaborate with them. At the time of use, these may in particular include:

• Genie (Drion AI AG’s own AI platform),
• DeepSeek,
• xAI (Grok),
• other language models, image generators or AI systems,
• AI technologies developed or integrated in the future.

Drion AI AG is entitled to continuously further develop, replace, supplement or substitute with equivalent technologies the AI technologies used within Genie. There is no entitlement to the permanent use of a specific AI model or AI provider.

6.3

AI-supported functions The AI-supported functions may in particular comprise:

• creation and optimisation of texts,
• creation and editing of images,
• assistance with social media posts,
• analysis and optimisation of content,
• planning and automation of publications,
• evaluation of available data,
• intelligent assistance functions,
• AI agents and automated workflows,
• other AI-supported platform functions.

The list is not exhaustive.

6.4 Responsibility for AI-generated content

AI-generated content serves exclusively to support the user. Drion AI AG assumes no warranty for the accuracy, completeness, currency, lawfulness or suitability of AI-generated content for a particular purpose. The user is obliged to review all AI-generated content on their own responsibility before using or publishing it. Responsibility for the use, publication or other utilisation of AI-generated content lies exclusively with the user.

6.5 No professional advice

The AI functions provided through Neos7.io do not constitute legal, tax, financial, investment, business or medical advice. AI-generated content does not replace individual advice from correspondingly qualified professionals.

6.6 Availability of AI services

The availability of individual AI functions depends, among other things, on technical requirements, external AI services, statutory requirements and the availability of the technologies used. Drion AI AG assumes no warranty for the permanent availability of individual AI models or AI providers.

6.7 Further development of proprietary AI systems

Drion AI AG continuously further develops its own AI systems as well as the AI-supported functions of Neos7.io. For this purpose, statistical, technical as well as anonymised or aggregated usage information may be evaluated, provided that no inferences regarding individual natural persons are possible and the applicable data protection provisions are complied with. Processing of personal data for the further development of proprietary AI systems takes place exclusively within the framework of the applicable statutory provisions and in accordance with the Privacy Policy of Drion AI AG. Drion AI AG is entitled to continuously further develop, optimise or replace with new technologies its AI systems, algorithms and models.

7. Neos7 Points

7.1 General

Drion AI AG may enable registered users, within the framework of Neos7.io, to participate in the Neos7 Points bonus programme. Neos7 Points serve to promote active use of the platform as well as the use of selected functions within the digital ecosystem of Drion AI AG. There is no entitlement to participation in the bonus programme or to the award of Neos7 Points unless Drion AI AG expressly provides for this.

7.2 Acquisition of Neos7 Points

Neos7 Points may in particular be awarded through the use of platform functions, participation in campaigns, the achievement of certain goals or other activities specified by Drion AI AG. The nature, scope and conditions of the award of points are determined exclusively by the respectively valid terms of participation and the information published within the platform.

7.3 Administration of Neos7 Points

The current points balance may – to the extent technically provided – be viewed within the user account. Drion AI AG is entitled to correct or reverse points credits if these have occurred due to technical errors, misuse or other unauthorised processes.

7.4 Misuse

Any abusive obtaining or use of Neos7 Points is not permitted. In particular, it is prohibited

• to circumvent technical protective measures,
• to use automated systems to obtain points,
• to create multiple registrations for the purpose of obtaining points,
• to make incorrect statements in order to obtain benefits,
• to carry out other abusive acts.

In the event of violations, Drion AI AG is entitled to delete unlawfully obtained Neos7 Points, to restrict user accounts or to take further measures under these GTC.

7.5 Legal nature of Neos7 Points

Neos7 Points form part of the bonus programme of Drion AI AG. In particular, they do not constitute

• legal tender,
• e-money,
• a financial instrument,
• a substitute for securities,
• a cryptocurrency
• or an NB7 Utility Token

Neos7 Points do not – subject to expressly differing terms of participation – give rise to any entitlement to payout or transfer to third parties.

7.6 Relationship to the NB7 Utility Token

To the extent that Drion AI AG in future provides for the possibility of converting Neos7 Points into NB7 Utility Token or using them for this purpose in accordance with separate terms of participation, the conditions, scope and process are determined exclusively by the applicable terms of participation. An entitlement to a conversion, a specific conversion rate or the permanent provision of corresponding functions exists only to the extent expressly provided for.

7.7 Changes to the bonus programme

Drion AI AG continuously further develops the Neos7 Points programme. It is entitled to further develop, adapt or discontinue the bonus programme, the conditions of participation and the associated functions, taking into account the legitimate interests of users. To the extent that changes have a material impact on existing rights of users or information is required by law, the affected users will be informed in an appropriate manner.

7.8 Supplementary terms of participation

The respectively valid terms of participation “Neos7 Points” of Drion AI AG apply in addition to the bonus programme. These govern in particular the conditions of participation, the award, use, possible expiry and other details of the bonus programme.

8. NB7 Utility Token

8.1 General

Drion AI AG may enable users of Neos7.io, within the framework of its digital ecosystem, to access functions in connection with the NB7 Utility Token. The NB7 Utility Token serves exclusively the usage purposes provided within the respective digital ecosystem. The specific functional scope is determined by the applicable terms of participation, the available platform functions and the technical requirements.

8.2 Blockchain wallet

Connecting a compatible blockchain wallet may be required in order to use blockchain-based functions. The connection of a wallet is made exclusively at the user’s instigation. Drion AI AG does not store private keys, seed phrases or comparable access credentials of the wallets. Responsibility for the secure custody of these access credentials and for all transactions remains exclusively with the user.

8.3

Use of the NB7 Utility Token To the extent that functions of the NB7 Utility Token are provided, these may in particular comprise the following:

• use within the digital ecosystem of Drion AI AG,
• access to selected platform functions,
• use of digital services,
• participation in programmes or functions of the platform,
• other areas of application in accordance with the applicable terms of participation.

The specific scope of services is determined by the respectively valid terms of participation.

8.4 Relationship to Neos7 Points

To the extent provided by Drion AI AG, Neos7 Points may be converted into NB7 Utility Token or used in connection with the NB7 Utility Token in accordance with separate terms of participation. An entitlement to a conversion, a specific conversion rate or the permanent provision of corresponding functions exists only to the extent expressly provided for.

8.5 Blockchain technology

Blockchain transactions are processed via the respective blockchain network. Drion AI AG has no influence over the functioning, availability or immutability of the respective blockchain, or over transactions outside the sphere of influence of Drion AI AG. Drion AI AG is not liable for transactions that occur due to incorrect wallet addresses, inaccurate information or actions of the user.

8.6 Further development

Drion AI AG continuously further develops the NB7 Utility Token ecosystem. In this context, in particular new functions, areas of application, platform integrations, technical further developments or other blockchain-based services may be added, expanded, modified or discontinued. To the extent that changes have a material impact on existing usage relationships or information is required by law, the affected users will be informed in an appropriate manner.

8.7

Use within the Drion AI AG ecosystem The NB7 Utility Token forms part of the digital ecosystem of Drion AI AG. Its area of application may in future extend to other platforms, applications, services or digital offerings of Drion AI AG as well as its affiliated companies or cooperation partners, to the extent provided in the applicable terms of participation or service descriptions. This may in particular include AI applications, digital marketplaces, community functions, bonus and reward systems, automations, virtual work environments and other blockchain-based applications. There is no entitlement to the introduction of specific functions or areas of application.

8.8 Supplementary terms of participation

The respectively valid terms of participation of Drion AI AG apply in addition to the NB7 Utility Token. These govern in particular the technical requirements, the usage options, conditions of participation, conversion processes, restrictions and other details of the NB7 Utility Token.

9. Obligations of the user

9.1 General obligations

The user undertakes to use Neos7.io exclusively in accordance with these General Terms and Conditions, the applicable statutory provisions and the principles of responsible and fair conduct.

9.2 Accuracy of information

The user is obliged to provide complete, accurate and current information upon registration and during use of the platform. Changes to data relevant to the contractual relationship must be updated without delay in the user account, to the extent this is technically possible.

9.3 Protection of the user account

The user is obliged

• to treat their access credentials as confidential,
• to take appropriate measures to protect their user account,
• not to enable unauthorised third parties to access their user account,
• to inform Drion AI AG without delay of any suspicion of misuse or

unauthorised access.

9.4 Lawful use

The user undertakes to use Neos7.io exclusively for lawful purposes. In particular, the user must ensure that their use of the platform does not infringe statutory provisions, rights of third parties or these General Terms and Conditions.

9.5 Responsibility for content

The user is solely responsible for all content that they create, process, store or publish via Neos7.io. This applies in particular to texts, images, videos, audio files, documents, comments and other content.

9.6

Use of AI-supported functions The user is obliged to review AI-generated content on their own responsibility before using or publishing it. Use of AI-supported functions does not release the user from their responsibility for the lawfulness and accuracy of the content used.

9.7

Use of external services To the extent that the user connects social media accounts, blockchain wallets or other third-party services with Neos7.io, the user is responsible for compliance with the respective terms of use and legal requirements of the third-party providers.

9.8 Duties of cooperation

The user shall support Drion AI AG to a reasonable extent in investigating security-related incidents. Security incidents, misuse of the platform or the loss of access credentials must be notified to Drion AI AG without delay.

9.9 Compliance with supplementary rules

To the extent that supplementary terms of participation, policies or service descriptions apply to individual functions, the user undertakes to comply with these as well.

10. Prohibited content

10.1 Principle

The user undertakes to use Neos7.io exclusively in accordance with the applicable statutory provisions, these General Terms and Conditions and the principles of responsible and fair conduct. It is prohibited to create, store, process or publish content that violates applicable law, rights of third parties or these General Terms and Conditions.

10.2 Impermissible content

In particular, it is prohibited to create, store or disseminate content that

• violates applicable law,
• promotes, supports or glorifies criminal acts,
• is insulting, defamatory or damaging to reputation,
• contains discriminatory, racist, extremist or inhumane content

,

• incites or supports violence, hatred or terrorism,
• contains pornographic or youth-endangering content, to the extent that its dissemination

is legally impermissible,

• infringes rights of third parties, in particular copyright, trademark, personality or

data protection rights,

• contains misleading or knowingly false information, to the extent that this infringes rights

of third parties or statutory provisions,

• contains or disseminates malware, viruses or other harmful program code

• violates export, embargo or sanctions regulations,
• constitutes other unlawful or abusive content.

10.3 Misuse of the platform

In particular, it is prohibited

• to circumvent or impair security mechanisms of the platform,
• to access systems, data or user accounts without authorisation,
• to exploit technical vulnerabilities or attempt to exploit them,
• to carry out automated mass access or other abusive system requests

to the extent these have not been expressly authorised by Drion AI AG,

• to engage in spam, phishing, fraud or comparable abusive acts

,

• to use the platform contrary to its intended purpose.

10.4

Use of AI-supported functions Use of the AI-supported functions does not release the user from their responsibility for the content they generate or publish. The user is obliged to review AI-generated content on their own responsibility before using or publishing it and to ensure that it does not violate applicable law, rights of third parties or these General Terms and Conditions.

10.5 Misuse of AI functions

In particular, it is prohibited to use the AI-supported functions provided on Neos7.io in order to

• create or disseminate unlawful content,
• generate deceptive, fraudulent or misleading content,
• infringe personality, copyright, trademark or other rights of third parties,
• develop or disseminate malware or harmful program code,
• circumvent security measures of third parties,
• generate or disseminate automated disinformation, spam or other abusive content

,

• create or disseminate content the use of which violates applicable law or

official orders.

10.6 Measures in the event of violations

In the event of violations of these General Terms and Conditions or a justified suspicion of a violation, Drion AI AG is entitled, taking into account the legitimate interests of the user, to take appropriate measures. These may in particular include:

• the removal or blocking of individual content,
• the restriction of individual platform functions,
• the temporary blocking of user accounts,
• extraordinary termination of the usage relationship in accordance with these

GTC,

• the assertion of statutory claims,
• the fulfilment of statutory duties of cooperation or information vis-à-vis

competent authorities. The measures may – to the extent necessary – also relate to organisation accounts or individual team members. Further statutory rights of Drion AI AG remain unaffected.

11. Intellectual property

11.1 Protective rights of Drion AI AG

All rights in Neos7.io and the associated applications, software components, program codes, databases, algorithms, AI systems, designs, user interfaces, graphics, logos, trademarks, business designations, documentation, concepts and other content are – unless expressly indicated otherwise – held exclusively by Drion AI AG or its licensors. This applies in particular to the platforms Neos7.io, Genie, the NB7 Utility Token and all present and future products, services and technologies of Drion AI AG.

11.2 Rights of use

Upon registration or use of Neos7.io, the user receives exclusively a simple, non-exclusive, non-transferable and revocable right to use the platform within the framework of these General Terms and Conditions and the service package booked in each case. This does not entail a transfer of copyrights, trademark rights, patents, trade secrets or other protective rights.

11.3 Prohibited acts

Without the prior express written consent of Drion AI AG, it is in particular prohibited

• to copy, modify or

pass on software, source code or platform components,

• to reverse-engineer platform components, to the extent this

may lawfully be excluded,

• to use trademarks, logos or business designations without authorisation,
• to reproduce, publish or make publicly available content of the platform outside the rights of use granted

,

• to circumvent technical protective measures,
• to use platform components or technologies of Drion AI AG for the development of

competing products or services.

11.4 Rights in user content

The user remains the holder of all rights in the content they create or upload. The user grants Drion AI AG, for the duration of the usage relationship, the non-exclusive, geographically unlimited right to store, technically reproduce, process, transmit and, to the extent necessary, make available such content, insofar as this is required for the operation of Neos7.io or the provision of the agreed services. Any further use takes place exclusively on the basis of the user’s express consent or a statutory permission.

11.5

AI-generated content Use of AI-supported functions does not confer any rights of the user in the AI systems, algorithms or technologies developed by Drion AI AG. The user is themselves responsible for the use of content generated by AI. Drion AI AG assumes no warranty that AI-generated content is free from third-party rights or enjoys copyright protection.

11.6 Further development of the platform

Drion AI AG continuously further develops Neos7.io as well as all AI systems, software components, algorithms, platform functions and technologies. All rights in further developments, optimisations, expansions or new functions remain exclusively with Drion AI AG or the respective rights holders.

11.7 Trademarks and business designations

The designations Drion AI AG, Neos7.io, Genie, NB7 Utility Token, Neos7 Points as well as all logos, trademarks, business designations, product names and other commercial signs are – to the extent legally protected or applied for registration – intellectual property of Drion AI AG or the respective rights holders. Their use outside the expressly granted rights of use requires the prior written consent of Drion AI AG.

11.8 Protection of the digital ecosystem

The technologies, concepts, AI models, automations, workflows, system architectures and other technical and organisational developments used in Neos7.io form an essential component of the intellectual property of Drion AI AG. To the extent permitted by law, any unauthorised reproduction, imitation, exploitation or use of these protected components is prohibited.

12. Availability of the platform

12.1 Provision of the platform

Drion AI AG endeavours to provide Neos7.io with a high level of technical availability and to continuously further develop the platform. However, there is no entitlement to uninterrupted, error-free or disturbance-free availability of the platform or individual functions at all times.

12.2 Maintenance work

To ensure the security, stability and further development of the platform, Drion AI AG may regularly carry out maintenance, update, optimisation or expansion work. To the extent possible and reasonable, planned maintenance work will be announced in advance in an appropriate manner. During such work, the use of individual or all platform functions may be temporarily restricted or not possible.

12.3 Technical restrictions

The availability of individual functions may in particular be affected by the following circumstances :

• maintenance or update work,
• technical disruptions or system failures,
• failures of telecommunications or data networks,
• power supply disruptions,
• cyberattacks or other security incidents,
• force majeure,
• official orders,
• failures or restrictions of external cloud, hosting or infrastructure

service providers,

• changes or restrictions of external AI services,
• changes or restrictions of social media platforms or their

application programming interfaces (APIs),

• disruptions of blockchain networks or blockchain wallets,
• other events outside the sphere of influence of Drion AI AG.

12.4 Third-party providers

Neos7.io uses functions and services of external providers. The availability of individual platform functions may therefore depend on the technical availability, the terms of use or the technical requirements of these third-party providers. Drion AI AG assumes no warranty for the permanent provision or unchanged functioning of such third-party services.

12.5 Further development of the platform

Drion AI AG continuously further develops Neos7.io and the functions provided. This may in particular include software updates, security measures, new AI-supported functions, automations, platform integrations, blockchain applications or other technical further developments. To the extent that changes have a material impact on existing usage relationships or information is required by law, the affected users will be informed in an appropriate manner.

12.6 No entitlement to specific functions

The user has no entitlement to the permanent provision of specific functions, integrations, AI models, APIs or technical services. Drion AI AG is entitled to further develop, adapt, replace or discontinue individual functions technically, provided that the essential purpose of the contract is not impaired thereby and the legitimate interests of users are appropriately taken into account.

13. Liability

13.1 Principle

Drion AI AG is liable in accordance with the statutory provisions for damage caused intentionally or by gross negligence. In the event of slightly negligent breaches of duty, Drion AI AG is liable only in the event of a breach of essential contractual obligations (cardinal obligations). In this case, liability is limited to the damage typical of the contract and foreseeable.

13.2 Mandatory statutory liability

The limitations of liability in these General Terms and Conditions do not apply

• in the event of intent or gross negligence,
• in the event of injury to life, body or health,
• to the extent that mandatory statutory provisions provide for liability,
• and in other cases that are mandatory by law.

13.3 Liability for third-party providers

Drion AI AG assumes no liability for services, content or systems of external providers, in particular social media platforms, AI providers, cloud services, hosting providers, blockchain networks or other third-party providers, to the extent that these are not attributable to the sphere of responsibility of Drion AI AG.

13.4 Availability of the platform

Drion AI AG is not liable for interruptions, delays or restrictions of the platform to the extent that these are attributable in particular to maintenance work, technical disruptions, force majeure, cyberattacks, failures of external services or other events outside the sphere of influence of Drion AI AG.

13.5 User content

The respective user is solely responsible for all content that users create, store, process or publish via Neos7.io. Drion AI AG does not adopt user content as its own and is in principle not obliged to review it in advance.

13.6

AI-supported functions The AI-supported functions provided via Neos7.io serve exclusively to support the user. AI-generated content may be incomplete, incorrect or unsuitable for the respective purpose of use. Drion AI AG assumes no liability for decisions, acts or omissions based on the use of AI-generated content.

13.7 Blockchain and wallets

Drion AI AG is not liable for damage arising in particular from

• the use of external blockchain networks,
• incorrect wallet addresses,
• the loss of private keys or seed phrases,
• transactions outside the sphere of influence of Drion AI AG,
• technical restrictions of blockchain networks or blockchain wallets.

13.8 User’s own responsibility

Use of all platform functions, in particular AI-supported functions, social media connections, automations, blockchain functions and the NB7 Utility Token, takes place on the user’s own responsibility. The user remains solely responsible for all decisions, publications, transactions and other acts that take place on the basis of the platform functions provided.

13.9 Indemnification

The user shall indemnify Drion AI AG against all third-party claims asserted on the basis of an unlawful or contractually non-compliant use of Neos7.io, a violation of these General Terms and Conditions or a violation of statutory provisions by the user. The indemnification also includes the reasonable costs of legal defence, to the extent that the user is responsible for the breach of duty.

13.10 Limitation period

To the extent permitted by law, liability and damages claims are governed by the statutory limitation provisions.

14. Data protection

14.1

Processing of personal data Drion AI AG processes personal data of users exclusively within the framework of the applicable data protection provisions and in accordance with the respectively current Privacy Policy. The nature, scope, purposes, legal bases and duration of the processing of personal data are set out in the Privacy Policy of Drion AI AG.

14.2 Privacy Policy

The respectively current Privacy Policy of Drion AI AG (document DLA-DP-001 is available on Neos7.io and supplements these General Terms and Conditions. By registering a user account or using Neos7.io, the user confirms that they have taken note of the Privacy Policy. The processing of personal data is governed exclusively by the provisions of the Privacy Policy and the respectively applicable data protection regulations.

14.3

Use of third-party providers To provide the platform and individual functions, Drion AI AG may use services of external providers, in particular in the areas of:

• cloud and hosting infrastructure,
• artificial intelligence,
• social media connections,
• blockchain technologies,
• authentication,
• communications,
• analytics and security services.

To the extent that personal data are processed in this context, this takes place exclusively within the framework of the applicable data protection provisions and in accordance with the Privacy Policy of Drion AI AG.

14.4 Data security

Drion AI AG takes appropriate technical and organisational measures to protect personal data against loss, misuse, unauthorised access, unauthorised alteration or disclosure. The security measures are reviewed regularly and continuously further developed taking into account technical progress and statutory requirements.

14.5 Data subject rights

The rights of data subjects, in particular access, rectification, erasure, restriction of processing, data portability, objection and other rights provided by law, are set out in the respectively current Privacy Policy and the applicable data protection provisions.

14.6 Changes to the Privacy Policy

Drion AI AG will update the Privacy Policy to the extent this is necessary due to statutory changes, technical further developments of the platform, new functions or other objective reasons. Users will be informed of material changes to the Privacy Policy in an appropriate manner, to the extent required by law.

15. Contract term, termination and account deletion

15.1 Commencement of the usage relationship

The usage relationship between the user and Drion AI AG commences upon successful registration of a user account or – to the extent provided – upon conclusion of a contract for a paid service package. The usage relationship is in principle concluded for an indefinite period, unless otherwise provided by the respective service package or an individual agreement.

15.2 Termination by the user

The user may terminate their user account at any time or – to the extent technically provided – delete it themselves. To the extent that paid service packages are used, termination of the usage relationship is governed by the contract terms, notice periods and supplementary service descriptions agreed for this purpose. Payment claims of Drion AI AG that have already arisen remain unaffected by the termination.

15.3 Termination by Drion AI AG

Drion AI AG is entitled to terminate the usage relationship by ordinary or extraordinary notice in accordance with the statutory provisions. Good cause exists in particular if

• the user violates these General Terms and Conditions or applicable law

,

• the platform is misused,
• rights of third parties are infringed,
• incorrect or misleading registration data have been used,
• security interests of the platform make blocking or termination necessary

,

• there is a statutory obligation to block or terminate.

To the extent legally permissible and reasonable, the user will be informed prior to a permanent account block or termination.

15.4 Consequences of termination of the contract

Upon termination of the usage relationship, the user’s right to use the platform and the functions provided therethrough ends. Statutory retention obligations, outstanding payment claims and other statutory or contractual obligations that by their nature continue beyond the end of the contract remain unaffected.

15.5 Deletion of the user account

After termination of the usage relationship, the user account will be deleted or anonymised within the framework of the applicable statutory provisions, unless statutory retention obligations, legitimate interests of Drion AI AG or other statutory grounds prevent immediate deletion. Details of the processing, storage and deletion of personal data are set out in the Privacy Policy of Drion AI AG DLA-DP-001.

15.6 Paid service packages

For paid service packages, the respectively agreed contract terms, notice periods, payment terms and the associated service descriptions apply in addition. To the extent that special contractual terms apply to individual service packages, these take precedence over the provisions of these General Terms and Conditions for the respective area of application.

15.7 Effects on platform functions

Upon termination of the usage relationship, the following entitlements or functions in particular may cease:

• access to paid platform functions,
• use of AI-supported functions,
• access to organisation and team accounts,
• use of Neos7 Points,
• use of blockchain-based functions,
• use of the NB7 Utility Token,
• access to other performance-dependent functions.

Further rights under separate agreements or terms of participation remain unaffected.

15.8 Data export

To the extent technically provided, the user may, prior to the final deletion of their user account, use the export or backup functions provided by the platform. There is no entitlement to the provision of specific file formats or export functions unless otherwise prescribed by law.

16. Changes to the General

Terms and Conditions

16.1 Further development of the platform

Drion AI AG continuously further develops Neos7.io as well as the applications, services and functions provided therethrough in order to appropriately take into account technical innovations, statutory requirements and the needs of users.

16.2 Changes to these General

Terms and Conditions Drion AI AG reserves the right to change or supplement these General Terms and Conditions with effect for the future, to the extent there is an objective reason for doing so. An objective reason exists in particular in the event of

• changes to statutory or official requirements,
• court decisions or official orders,
• technical further developments of the platform,
• introduction of new or change of existing functions, products or

service packages,

• changes to technical or security-related requirements,
• adaptations to new business models or market conditions,
• changes in connection with third-party providers or technical interfaces,
• other comparable objective reasons.

16.3 Information of users

Users will be informed of material changes to these General Terms and Conditions in good time in an appropriate manner. To the extent required by law, the user’s consent will be obtained.

16.4 Right of objection

To the extent provided by law, the user may object to changes to these General Terms and Conditions within the notified period. If the user exercises their right of objection and continuation of the usage relationship under the previous terms is legally or economically unreasonable for Drion AI AG, Drion AI AG’s right of ordinary termination of the usage relationship remains unaffected.

16.5 Principles for changes

Changes to these General Terms and Conditions are made exclusively taking into account the legitimate interests of users and the respectively applicable statutory provisions. The essential purpose of the contract and the contractual balance between the parties may not be unreasonably impaired by changes.

16.6 Editorial changes

Drion AI AG is entitled at any time to make editorial changes, clarifications, updates of references, obvious error corrections or other changes without substantive impact. Such changes do not constitute changes to the contractual relationship and do not require the user’s separate consent.

17. Final provisions

17.1 Applicable law

The substantive law of Switzerland applies to all legal relationships between the user and Drion AI AG, to the exclusion of conflict-of-laws rules and of the United Nations Convention on Contracts for the International Sale of Goods (CISG). Mandatory statutory consumer protection provisions of the state in which the user has their habitual residence remain unaffected.

17.2 Place of jurisdiction

To the extent permitted by law, the exclusive place of jurisdiction for all disputes arising from or in connection with these General Terms and Conditions is the registered office of Drion AI AG. Mandatory statutory places of jurisdiction and mandatory consumer protection provisions remain unaffected.

17.3 Severability clause

Should individual provisions of these General Terms and Conditions be or become wholly or partially invalid, unenforceable or void, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by the legally permissible provision that most closely approximates the economic purpose of the invalid or unenforceable provision. The same applies to any gaps in the provisions.

17.4 Order of precedence of supplementary rules

To the extent that supplementary terms of participation, service descriptions, policies or other agreements of Drion AI AG apply to individual functions, products or services, these supplement the General Terms and Conditions. In the event of conflicts, individual agreements take precedence over the General Terms and Conditions. Special terms of participation or service descriptions take precedence over the General Terms and Conditions to the extent that they apply specifically to the respective service or function.

17.5 Electronic communication

To the extent permitted by law, notices in connection with the usage relationship may also be given in electronic form. These include in particular notices within the platform, by email or via other communications channels provided by Drion AI AG.

17.6 Language versions

These General Terms and Conditions are prepared in the German language. If translations into other languages are provided, the German version shall be the authoritative version in the event of questions of interpretation, unless mandatory statutory provisions provide otherwise.

17.7 Entry into force

These General Terms and Conditions enter into force upon their publication on Neos7.io. They apply to all usage relationships newly concluded from that time onwards as well as – to the extent permitted by law and in accordance with Chapter 16 – to existing usage relationships.

17.8 Document management

These General Terms and Conditions are maintained by Drion AI AG under the document identifier DLA-AGB-001. The version published on Neos7.io and marked as valid is authoritative in each case. Changes and versioning take place in accordance with the internal documentation and approval processes of Drion AI AG.
